Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") are a legal agreement between you ("you," "your," or "Customer") and Allgood Marketing LLC ("we," "us," or "Company"), a New Jersey limited liability company operating ReviewEngine.

By creating an account, starting a free trial, or paying for a ReviewEngine subscription, you agree to be bound by these Terms. If you are agreeing on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use ReviewEngine.

2. Service Description

ReviewEngine is a subscription-based software service that provides:

• Review monitoring — automated tracking of publicly posted reviews on Google, Yelp, Facebook, Healthgrades, and other platforms
• AI-assisted response drafting — AI-generated draft responses to your reviews, delivered for your review and approval before any response is posted
• SMS review requests — automated text message campaigns sent to your provided patient or customer contact list (Growth and Agency plans)
• Monthly performance reports — emailed summaries of your review activity, ratings trends, and competitive insights (Growth and Agency plans)
• Competitor review tracking — monitoring of competitor review profiles (Growth and Agency plans)
• White-label reports and API access — for resellers and agencies (Agency plan)

Service features are defined by the plan you subscribe to (Starter, Growth, or Agency). Features may be added, modified, or removed with reasonable notice. Material reductions to core features will be communicated at least 30 days in advance.

3. Account Registration

To use ReviewEngine, you must create an account. You agree to:

• Provide accurate and complete information during registration
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized access to your account at contact@allgoodseo.com
• Be responsible for all activity that occurs under your account

You must be at least 18 years old to create a ReviewEngine account. By registering, you represent that you meet this requirement.

One account may manage multiple locations depending on your plan. Sharing account credentials with individuals outside your organization is not permitted.

4. Billing & Subscriptions

Monthly Subscriptions

ReviewEngine subscriptions are billed monthly on a recurring basis. Your billing cycle begins on the date your paid subscription starts (after your free trial ends, or on the date of purchase if no trial is used). You authorize ReviewEngine to charge your payment method on file each billing cycle.

Current pricing:

• Starter: $99/month — 1 location
• Growth: $199/month — up to 3 locations
• Agency: $399/month — up to 5 locations

Annual Subscriptions

Annual prepay is available at a discounted rate equivalent to 10 months for the price of 12 (approximately 17% off). Annual subscriptions are billed in full at the start of each annual term. Annual subscribers receive 2 months of service at no additional charge.

Price Changes

We may change subscription pricing with at least 30 days' notice. Price changes will apply to your next billing cycle after the notice period. If you disagree with a price change, you may cancel before the change takes effect.

Payment Processing

All payments are processed by Stripe. By providing payment information, you agree to Stripe's terms of service. Your payment details are stored and managed by Stripe — ReviewEngine does not store your card number or CVV.

Failed Payments

If a payment fails, we will retry up to 3 times over 7 days. If payment cannot be collected after 3 attempts, your account will be suspended. You will receive email notifications at each retry attempt. You may update your payment method at any time from your account dashboard.

5. 14-Day Free Trial

During your free trial, you have full access to all features of your selected plan at no charge. At the end of the 14-day period:

• If you have added a payment method, your subscription will automatically begin and you will be charged for the first billing period
• If you have not added a payment method, your account will be downgraded to a read-only state until you add one or close your account

Free trials are available once per business. Creating multiple accounts to extend a free trial period is a violation of these Terms and may result in account termination.

6. Cancellation Policy

How to Cancel

Cancel with one click from your account dashboard under Settings → Subscription → Cancel Plan. You can also cancel by emailing contact@allgoodseo.com — we will process your cancellation within 1 business day.

What Happens After Cancellation

When you cancel:

• Your subscription remains active through the end of your current paid billing period — you will not be charged again after that date
• You retain full access to all features until the billing period ends
• We do not issue prorated refunds for unused days in a monthly billing period
• Your account data will be retained for 30 days after the billing period ends, then deleted — giving you time to download any reports

Annual Plan Cancellations

Annual subscribers may cancel at any time. Your access continues through the end of the annual term you have paid for. We do not provide refunds for remaining months on an annual plan, except in cases of service non-performance at our discretion.

Refunds

We do not offer routine refunds for monthly subscriptions. If you believe you were charged in error or have a billing dispute, contact us within 30 days at contact@allgoodseo.com and we will investigate and resolve it promptly.

7. Acceptable Use

You agree to use ReviewEngine only for lawful purposes and in compliance with these Terms. You agree not to:

• Use ReviewEngine to send unsolicited or deceptive SMS messages ("spam") to contacts who have not given consent to receive review requests
• Use ReviewEngine to solicit, generate, or post fake reviews on any platform
• Attempt to manipulate review platforms in ways that violate their terms of service (e.g., review gating, incentivized reviews where prohibited)
• Upload contact lists containing individuals who have requested to opt out of SMS communications
• Access, scrape, or reverse-engineer ReviewEngine's systems beyond normal use of the service
• Use ReviewEngine to monitor businesses you do not own, operate, or have explicit authorization to manage
• Use ReviewEngine in any way that violates applicable laws, including CAN-SPAM, TCPA (Telephone Consumer Protection Act), and state privacy laws

SMS Compliance (TCPA)

If you use ReviewEngine's SMS review request feature, you are solely responsible for ensuring you have obtained proper prior express written consent from recipients to receive text messages from your business. ReviewEngine provides the technical delivery mechanism; compliance with the TCPA and applicable state laws is your responsibility. Allgood Marketing LLC is not liable for any regulatory fines or legal claims arising from your use of the SMS feature.

8. AI-Generated Content Disclaimer

ReviewEngine uses AI to generate draft responses to reviews posted about your business. You understand and agree that:

• AI-generated drafts are suggestions only. You are responsible for reviewing each draft before approving it for publication.
• ReviewEngine does not automatically post any response to any review platform without your explicit approval action.
• AI responses may occasionally contain inaccuracies, awkward phrasing, or content that does not fit your specific situation. Always read the draft before approving.
• Once you approve and post a response through the service, you own that response and are responsible for its contents.
• Allgood Marketing LLC is not liable for any consequences arising from a response you reviewed and approved, including claims of defamation, HIPAA violations, or platform policy violations.

Our AI is trained to never include protected health information, confirm patient identity, or disclose treatment details in response drafts. However, no AI system is perfect. You must review every draft for HIPAA compliance before approving it. This is a non-negotiable responsibility of the Customer.

9. Service Availability

We work hard to keep ReviewEngine running reliably, but we make no guarantees of uninterrupted service.

• Free trial and Starter plan users: No uptime SLA. We provide best-effort availability.
• Growth and Agency plan subscribers: We target 99% monthly uptime, excluding scheduled maintenance windows. We do not contractually guarantee this figure as a service level agreement unless separately agreed in writing.

Scheduled maintenance (system updates, upgrades) will be communicated via email with at least 24 hours' notice when possible. Emergency maintenance required to protect security or data integrity may occur without advance notice.

ReviewEngine's ability to retrieve review data depends on third-party platforms (Google, Yelp, etc.) maintaining accessible APIs. We are not responsible for delays or gaps in review data caused by changes to third-party platforms outside our control.

In the event of an extended outage (more than 48 consecutive hours), we will credit your account with prorated service time at our discretion.

10. Intellectual Property

ReviewEngine, its code, design, branding, and all original content are owned by Allgood Marketing LLC. Your subscription grants you a limited, non-exclusive, non-transferable license to use ReviewEngine for your internal business purposes during the term of your subscription.

You own the data you bring to ReviewEngine — your business information, your customer contact lists, and your approved responses. You grant us a limited license to process that data for the purpose of delivering the service.

You may not copy, resell, sublicense, or redistribute ReviewEngine software, reports, or templates without our written permission. Agency plan subscribers may use white-label reports for client deliverables — that is the intended use.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Allgood Marketing LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of revenue, profits, or business opportunities
• Reputational damage arising from a review response you approved and posted
• Data loss caused by third-party platform outages
• Regulatory fines or legal costs related to your SMS campaigns or review responses
• Consequences of review platform policy changes outside our control

In all cases, our maximum aggregate liability to you for any claims arising under these Terms shall not exceed the total amount you paid to ReviewEngine in the 12 months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, our liability is limited to the minimum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Allgood Marketing LLC, its officers, employees, and contractors from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of ReviewEngine in violation of these Terms
• Your violation of any law or third-party right (including TCPA violations related to your SMS campaigns)
• Any review responses you approved and published through the service
• Your provision of inaccurate or unauthorized contact data for SMS campaigns

13. Termination

Termination by You

You may terminate your ReviewEngine account at any time per Section 6 (Cancellation Policy). Termination does not entitle you to a refund of prepaid subscription fees.

Termination by Us

We reserve the right to suspend or terminate your account if:

• You materially breach these Terms and fail to cure the breach within 7 days of written notice
• You use the service to send spam or generate fake reviews (immediate termination, no cure period)
• Your account has been delinquent for more than 14 days after payment failure
• We are required to do so by law or legal order

If we terminate your account for reasons other than your breach (e.g., we discontinue the service), we will provide at least 30 days' notice and refund any prepaid fees for the unused period.

Effect of Termination

Upon termination, your right to access ReviewEngine ends. We will retain your data for 30 days post-termination before deletion, giving you time to download reports. Sections 8, 11, 12, and 14 of these Terms survive termination.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of ReviewEngine shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in New Jersey.

You waive your right to participate in a class action lawsuit against Allgood Marketing LLC. Each party may only bring claims in their individual capacity.

Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction to prevent irreparable harm.

15. Changes to These Terms

We may update these Terms from time to time. When we make a material change, we will:

• Update the "Last updated" date at the top of this page
• Send you an email notification to your account email address at least 14 days before the changes take effect

Your continued use of ReviewEngine after the effective date of updated Terms constitutes acceptance of the changes. If you disagree with any change, you may cancel your account before the new Terms take effect and receive a prorated refund for unused paid service at our discretion.
